Terms and Conditions of Use

Welcome to Baron Co-Pack (“Platform”, “we”, “us”, or “our”). Baron Co-Pack is an online marketplace that connects food brands and manufacturers (“Buyers”) with co-packing facilities and contract manufacturing partners (“Co-Packers”) across Canada. By accessing or using the Platform at baroncopack.com, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before creating an account or using any service.
If you do not agree to these Terms, you must immediately stop using the Platform.
1. Definitions
Platform: The website baroncopack.com and all associated services, tools, and features operated by Baron Co-Pack.
User: Any individual or legal entity that creates an account on the Platform, whether as a Co-Packer or a Buyer.
Co-Packer: A company or individual that lists its co-packing, contract manufacturing, or value-added food processing services on the Platform.
Buyer: A food brand, entrepreneur, or company that uses the Platform to search for and contact Co-Packers.
Listing: A profile page created by a Co-Packer describing its facility, services, certifications, and available production capacity.
Booking / Inquiry: A request submitted by a Buyer to a Co-Packer through the Platform to discuss or reserve production capacity.
Subscription Plan: A paid or free plan purchased by a Co-Packer to access Platform features (Starter, Growth, or Pro).
Content: Any text, images, descriptions, logos, certifications, or other materials submitted by Users to the Platform.
2. Eligibility and Account Registration
To use the Platform, you must: (a) be at least 18 years of age; (b) be a duly incorporated or registered business entity, or an individual acting in a professional or commercial capacity; and (c) have the legal authority to enter into binding contracts on behalf of yourself or the organization you represent.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. Baron Co-Pack reserves the right to suspend or terminate any account where inaccurate or misleading information has been provided.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@baroncopack.com of any unauthorized access or security breach.
3. Platform Role and Limitations
Baron Co-Pack is a marketplace platform only. We facilitate connections between Buyers and Co-Packers but are NOT a party to any agreement, contract, or transaction entered into between Users. We do not manufacture, package, store, or distribute any food products.
Baron Co-Pack does not:
- Guarantee the quality, safety, legality, or fitness for purpose of any Co-Packer’s services or facilities.
- Verify or certify any food safety certifications (HACCP, SQF, BRC, Organic, Kosher, Halal, etc.) claimed by Co-Packers unless explicitly stated.
- Guarantee that any Buyer or Co-Packer will complete a transaction.
- Act as an agent, broker, or representative of any User.
- Provide legal, regulatory, nutritional, or food safety advice.
Users are solely responsible for independently verifying all information, certifications, and capabilities before entering into any commercial arrangement.
4. Co-Packer Obligations
By creating a Listing on the Platform, Co-Packers represent and warrant that they:
- Hold all required federal, provincial, and municipal licences and permits to operate a food manufacturing or co-packing facility in Canada.
- Comply with all applicable food safety regulations, including those set out by the Canadian Food Inspection Agency (CFIA), the Safe Food for Canadians Act (SFCA), and any applicable provincial legislation.
- Accurately and truthfully describe their facilities, production capacity, certifications, minimum order quantities, and pricing in their Listing.
- Promptly update their Listing if any information becomes outdated, inaccurate, or misleading.
- Respond to Buyer inquiries in a timely and professional manner.
- Honour confirmed bookings or provide reasonable notice of cancellation.
- Maintain adequate liability insurance coverage for their operations.
Co-Packers acknowledge that failure to comply with the above obligations may result in immediate removal of their Listing and suspension or termination of their account.
5. Buyer Obligations
By using the Platform to search for and contact Co-Packers, Buyers agree to:
- Use the Platform for legitimate commercial purposes only.
- Provide accurate and truthful information in all inquiries and booking requests.
- Conduct their own due diligence, including facility audits and certification verification, before entering into any co-packing agreement.
- Comply with all applicable regulations regarding food labelling, product safety, and importation/exportation where applicable.
- Treat Co-Packers with professionalism and respect.
- Honour the terms of any agreement reached with a Co-Packer through the Platform.
- Refrain from circumventing the Platform to avoid applicable fees once a connection has been established through Baron Co-Pack.
6. Subscription Plans and Payments
6.1 Plans
Baron Co-Pack offers the following Subscription Plans to Co-Packers:
- Starter (Free): One active Listing for 60 days. Basic visibility. Can only be purchased once per account.
- Growth ($79 CAD/month): Unlimited Listings, Verified Partner badge, boosted search visibility, direct messaging, and analytics dashboard.
- Pro ($149 CAD/month): All Growth features plus Featured placement, homepage banner, multi-user access, monthly performance reports, and a dedicated account manager.
6.2 Billing & Renewals
Paid Subscription Plans are billed monthly in advance in Canadian dollars (CAD), plus applicable taxes (GST/HST/QST). Plans automatically renew at the end of each billing period unless cancelled by the Co-Packer prior to the renewal date. Baron Co-Pack reserves the right to modify pricing with at least 30 days’ written notice to affected subscribers.
6.3 Refunds
All subscription fees are non-refundable except where required by applicable Canadian consumer protection law. If you believe you have been charged in error, please contact us at hello@baroncopack.com within 14 days of the charge.
6.4 Platform Commission
Baron Co-Pack may charge a platform commission on transactions processed through the Platform. Applicable commission rates will be clearly disclosed prior to the completion of any transaction.
7. Bookings and Transactions
Booking requests submitted through the Platform are inquiries only and do not constitute a binding contract between a Buyer and a Co-Packer until both parties have explicitly confirmed the arrangement in writing (which may include email or Platform messaging).
All commercial agreements, including pricing, production timelines, quality standards, intellectual property ownership, confidentiality, and liability, are to be negotiated and agreed directly between the Buyer and Co-Packer. Baron Co-Pack strongly recommends that both parties execute a formal written Co-Packing Agreement before commencing any production.
Unconfirmed booking requests expire after 72 hours. Co-Packers must respond promptly to avoid automatic expiry.
8. Content and Intellectual Property
8.1 User Content
Users retain ownership of all Content they submit to the Platform. By submitting Content, you grant Baron Co-Pack a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute your Content solely for the purposes of operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to submit all Content and that such Content does not infringe any third-party intellectual property rights.
8.2 Platform Content
All Platform content, including but not limited to the Baron Co-Pack name, logo, design, software, and written materials, is the exclusive property of Baron Co-Pack and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute Platform content without prior written permission from Baron Co-Pack.
8.3 Prohibited Content
Users may not submit Content that:
- Is false, misleading, or deceptive.
- Infringes any third-party patent, trademark, copyright, trade secret, or other intellectual property right.
- Contains offensive, discriminatory, or harassing material.
- Includes personal information of third parties without their consent.
- Violates any applicable federal or provincial law or regulation.
9. Food Safety and Regulatory Compliance
Co-Packers are solely responsible for ensuring that their facilities and operations comply with all applicable food safety legislation, including without limitation:
- The Safe Food for Canadians Act (SFCA) and Safe Food for Canadians Regulations (SFCR).
- Hazard Analysis Critical Control Points (HACCP) principles where required.
- Provincial food safety and public health regulations applicable to their jurisdiction.
- Any industry-specific standards (SQF, BRC/IFS, Organic, Kosher, Halal, Gluten-Free) claimed in their Listing.
Buyers are responsible for ensuring that products manufactured through any Co-Packer comply with all applicable labelling, nutritional, allergen declaration, and marketing regulations under the Food and Drugs Act and Consumer Packaging and Labelling Act.
Baron Co-Pack bears no responsibility or liability for any food safety incident, recall, regulatory violation, or personal injury arising from the products or services of any Co-Packer listed on the Platform.
10. Confidentiality
Users acknowledge that in the course of using the Platform, they may receive confidential information from other Users, including but not limited to proprietary recipes, formulations, pricing, production processes, and business strategies. Users agree to:
- Keep all such information strictly confidential.
- Use confidential information solely for the purposes of evaluating or executing a potential or existing co-packing arrangement.
- Not disclose confidential information to any third party without prior written consent.
The foregoing obligations do not apply to information that is publicly available, already known to the recipient, or required to be disclosed by law. Baron Co-Pack strongly recommends that Users execute a formal Non-Disclosure Agreement (NDA) before sharing sensitive business information through the Platform.
11. Reviews and Ratings
Buyers who have completed a verified booking may submit reviews and ratings for Co-Packers. Reviews must be honest, accurate, and based on first-hand experience. Co-Packers may not submit reviews of their own Listings. Baron Co-Pack reserves the right to remove any review that violates these Terms, is fraudulent, or is submitted in bad faith.
Reviews represent the opinions of individual Users and do not reflect the views of Baron Co-Pack. We do not endorse or verify the accuracy of any review.
12. Privacy and Data Protection
Baron Co-Pack collects, uses, and discloses personal information in accordance with its Privacy Policy, available at baroncopack.com/privacy. Our practices comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Quebec’s Act Respecting the Protection of Personal Information in the Private Sector (Law 25).
By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. You may request access to, correction of, or deletion of your personal information by contacting us at hello@baroncopack.com.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARON CO-PACK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.
- Any loss of profits, revenue, data, business opportunities, or goodwill.
- Any food safety incident, product recall, personal injury, or property damage arising from the services of any Co-Packer.
- Any unauthorized access to or alteration of your account or Content.
- Any failure of performance, error, omission, interruption, deletion, defect, or delay in operation of the Platform.
IN ANY EVENT, BARON CO-PACK’S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BARON CO-PACK IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Baron Co-Pack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any dispute between you and another User.
15. Account Suspension and Termination
Baron Co-Pack reserves the right to suspend or permanently terminate any account, at its sole discretion and without prior notice, where a User has:
- Violated any provision of these Terms.
- Provided false, inaccurate, or misleading information.
- Engaged in fraudulent, deceptive, or harmful conduct.
- Failed to maintain required food safety certifications or licences.
- Received a significant number of verified negative reviews or complaints.
Users may terminate their own account at any time by contacting hello@baroncopack.com. Upon termination, all active Listings will be removed from the Platform. No refund will be issued for any unused portion of a prepaid Subscription Plan, except as required by law.
16. Dispute Resolution
16.1 Between Users
Baron Co-Pack is not responsible for resolving disputes between Buyers and Co-Packers. Users are encouraged to attempt to resolve disputes directly and in good faith. Baron Co-Pack may, at its sole discretion, provide a mediation mechanism to assist in resolving disputes but is under no obligation to do so.
16.2 With Baron Co-Pack
Any dispute arising out of or in connection with these Terms or your use of the Platform shall first be submitted to non-binding mediation in the Province of Quebec, Canada. If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the ADR Institute of Canada. The language of arbitration shall be English, unless both parties agree to French.
16.3 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
17. Modifications to These Terms
Baron Co-Pack reserves the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes by posting the updated Terms on the Platform and, where possible, by sending an email notification to registered Users. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Platform.
18. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Baron Co-Pack with respect to the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Baron Co-Pack’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights under these Terms without prior written consent from Baron Co-Pack.
Language: These Terms are available in English. A French version may be provided upon request.
